1. ACCEPTANCE - BINDING CONTRACT
BY ACCESSING, INSTALLING, OR USING THE CHATVAULT PLATFORM IN ANY WAY - INCLUDING TICKING THE REGISTRATION CHECKBOX, COMPLETING REGISTRATION, ACCESSING THE SERVICE, LOGGING IN, OR BROWSING THE WEBSITE - YOU ENTER INTO A LEGALLY BINDING CONTRACT WITH CHATVAULT UNDER THE INDIAN CONTRACT ACT, 1872. IF YOU DO NOT AGREE TO EVERY PROVISION, YOU MUST IMMEDIATELY CEASE ALL ACCESS AND USE.
2. DEFINITIONS

| "Cloud Drive" | Google Drive, Dropbox, OneDrive, or other cloud storage connected by the User. |
| "Communication Metadata" | Sender phone number, sender display name, Message ID, timestamp, and file size captured per media message event. Excludes message text and file content. |
| "Company / ChatVault / we" | ChatVault, operated from Jabalpur, Madhya Pradesh, India. |
| "Connection" | Single WhatsApp number authenticated to the Platform by the User. |
| "Cloud File Reference" | ChatVault may retain a reference associated with files stored in the User's connected cloud-storage account to support file organization, activity tracking, and related Service functionality. |
| "Cloud Storage Organization" | Files may be organized within the User's connected cloud-storage account according to the User's selected organization preferences. |
| "Google ID" | Unique identifier from Google LLC for Users using Google OAuth login. |
| "Upload Status Information" | ChatVault may process limited information associated with file uploads to provide upload status, organization, activity records, and related Service functionality. Such information may include file-related metadata where necessary. |
| "Passive Listener Mode" | ChatVault only receives incoming media messages. It NEVER sends any WhatsApp message. |
| "Platform" | www.chatvault.in, applications, backend services, and Operational Dashboard. |
| "User / you" | Any person or entity registering for or using the Platform. |
| "WhatsApp" | Messaging service operated by WhatsApp LLC, a subsidiary of Meta Platforms, Inc. |
3. ELIGIBILITY
- At least 18 years of age; legally capable of entering contracts under the Indian Contract Act, 1872
- If acting on behalf of a company, you must have authority to bind that entity
- All registration information must be accurate: full name, Business Name (if applicable), email, WhatsApp number, Google ID (if using Google login)
- You must be the registered owner or authorised operator of every WhatsApp number you connect
- You must have independently reviewed WhatsApp's Terms of Service and accepted the risks of unofficial connections
4. PLATFORM SERVICES - HOW CHATVAULT WORKS
4.1 Accurate Service Description
ChatVault provides a cloud sync utility that facilitates direct file transfers from your authorized communications to your designated personal cloud storage. ChatVault's infrastructure acts solely as an orchestrator and account management dashboard, never receiving, processing, or storing your actual media files.
4.2 What ChatVault Does NOT Do
ChatVault NEVER: (1) receives or stores media file content on its servers - files go directly to your Google Drive; (2) sends any WhatsApp message of any kind; (3) operates chatbots or automated replies; (4) reads or stores WhatsApp message text content; (5) reads, modifies, or deletes existing files in your Drive; (6) accesses your WhatsApp contact list.
4.3 'As-Is' Basis
THE PLATFORM IS PROVIDED 'AS-IS' AND 'AS-AVAILABLE'. NO GUARANTEE OF UNINTERRUPTED SERVICE, CAPTURE COMPLETENESS, UPTIME, OR ANY SPECIFIC BUSINESS RESULT. NO COMPENSATION FOR DOWNTIME.
5. USER RESPONSIBILITIES
5.1 Account Security
- Maintain confidentiality of all credentials
- You are solely responsible for all activity under your account
- Notify support@chatvault.in immediately if you suspect unauthorised access
- Ensure the device running ChatVault is secured
5.2 Third-Party Sender Data
When ChatVault monitors your groups, it captures Communication Metadata including the phone number and display name of group members who send media. These are THIRD PARTIES. You, as their Data Fiduciary under DPDP Act 2023, must: (a) inform all group members that their sender data will be captured; (b) obtain their consent where required by law; (c) use Communication Metadata only for legitimate upload tracking; and (d) indemnify ChatVault for any claim arising from your failure to do this.
5.3 Legal Compliance
- Use the Platform only for lawful purposes
- Process only data you are lawfully authorised to process
- Ensure media content does not infringe any copyright, trademark, privacy, or other right
- Comply with WhatsApp's Terms of Service at all times
- Ensure Cloud Drive use complies with that provider's Terms of Service
- Secure your own computer against unauthorised access
6. PROHIBITED CONDUCT
6.1 Illegal, Harmful, and Abusive Use
(a) Use the Platform for any unlawful, harmful, fraudulent, abusive, harassing, threatening, defamatory, obscene, or otherwise prohibited purpose
(b) Use the Platform to facilitate any criminal activity or violation of Applicable Law
(c) Transmit, upload, or process any content that is harmful, abusive, offensive, or violates any third-party right
6.2 Copyright and Intellectual Property Infringement
(d) Process, store, or distribute through the Platform any content that infringes any copyright, trademark, patent, or other intellectual property right
(e) Use the Platform to facilitate mass copying or distribution of copyrighted media without authorisation
(f) Remove, obscure, or alter any copyright or proprietary rights notice
6.3 Privacy Violations
(g) Collect, process, or distribute Personal Data of any individual in violation of the DPDP Act 2023, IT Act 2000, or any other data protection law
(h) Capture WhatsApp group member data without ensuring they have received notice and consented as required by law
(i) Use Communication Metadata for any purpose other than Platform upload tracking and audit
6.4 Unauthorised Data Collection
(j) Collect, aggregate, or scrape data from WhatsApp groups beyond your own authorised media upload operations
(k) Harvest WhatsApp contact lists, group member rosters, or any data category not collected by the Platform
(l) Build databases of third-party personal data using the Platform
6.5 Misuse of WhatsApp Numbers, Group Data, or Cloud Storage
(m) Connect WhatsApp numbers you do not own or are not authorised to operate
(n) Monitor groups of which you are not a legitimate member
(o) Access, upload to, or interact with Cloud Drive accounts you do not own or are not authorised to use
(p) Unauthorized sharing of account credentials, authentication keys, or device identifiers.
6.6 Technical Abuse and Security Violations
(q) Reverse engineer, decompile, or reconstruct any part of the Platform
(r) Circumvent, disable, or tamper with any security or technical protection measure
(s) Gain unauthorised access to any account, backend system, database, or network
(t) Transmit malware, viruses, ransomware, or any harmful code
(u) Use automated bots or scrapers beyond ChatVault's normal operation
(v) Conduct denial-of-service attacks or unauthorised penetration testing
(w) Falsify or alter audit logs or Consent Records
6.7 WhatsApp Abuse
(x) Attempt to send any WhatsApp message through the Platform - Passive Listener Mode only
(y) Conduct bulk messaging, broadcast campaigns, or spam operations
(z) Facilitate harassment of any WhatsApp user
(aa)Violate IT Act 2000, Sections 65, 66, 66A–66F, 67, 67A, 67B, 70, 72, 72A
6.8 THIRD-PARTY SERVICE COMPATIBILITY AND ACCOUNT RISK
Users should avoid simultaneously using the same WhatsApp number with multiple third-party services or tools that may affect WhatsApp account activity.
The combined use of multiple third-party services may affect the operation, availability, or status of a WhatsApp account. Users are responsible for ensuring that their use of ChatVault and any other third-party service complies with applicable terms, policies, and laws.
For best compatibility, users should use ChatVault only as intended and avoid running conflicting third-party services simultaneously on the same WhatsApp number.
7. ENFORCEMENT - WHAT HAPPENS IF YOU VIOLATE THESE TERMS
ENFORCEMENT CLAUSE: The User shall not use ChatVault for any unlawful, harmful, fraudulent, abusive, harassing, defamatory, obscene, infringing, or otherwise prohibited purpose. The User shall not use the Platform to collect, process, store, or distribute any content or data in violation of Applicable Law, the rights of any third party, or WhatsApp's Terms of Service. If ChatVault reasonably believes that a User has violated this Agreement, Applicable Law, or any third-party rights, ChatVault may: (a) Suspend or terminate the User's account immediately and without prior notice; (b) Remove, restrict, or disable access to relevant accounts, Connections, or Platform features; (c) Preserve and retain all relevant records, logs, Consent Records, audit trails, and evidence for as long as necessary for legal, regulatory, or enforcement purposes; (d) Cooperate with law enforcement agencies, courts, regulatory authorities (including the Data Protection Board of India), and affected third parties as required or permitted by law; (e) Disclose User information to competent authorities in response to lawful demands; and (f) Seek injunctive relief, damages, recovery of costs and legal fees, and any other civil, criminal, or equitable remedy available under Applicable Law. This is at ChatVault's sole discretion on a case-by-case basis.
8. INTELLECTUAL PROPERTY
All intellectual property in the Platform - software, algorithms, source code, design, trademarks, logos - is exclusively owned by ChatVault and protected under the Copyright Act 1957 and Trade Marks Act 1999. The User receives a limited, non-exclusive, non-transferable, revocable licence for internal business use only during an active subscription.
9. SUBSCRIPTIONS, FREE TRIAL, AND BILLING
9.1 Free Trial
ChatVault offers a 7-day free trial to new Users. One trial per person, business, WhatsApp number, and email address. Creating multiple accounts to extend trial access is Prohibited Conduct.
9.2 Paid Subscription
Service is considered fully delivered upon subscription activation and first Platform access. See the Free Trial & Refund Policy for all refund and cancellation terms.
9.3 Auto-Renewal
Subscriptions auto-renew unless cancelled at least 24 hours before renewal. Reminder sent 7 days before - non-receipt does not waive the charge.
9.4 GST
Applicable GST is charged and non-refundable once remitted to government.
10. DISCLAIMER OF WARRANTIES
CHATVAULT DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, INCLUDING: (A) MERCHANTABILITY AND FITNESS FOR PURPOSE; (B) UNINTERRUPTED OR ERROR-FREE SERVICE; (C) COMPLETENESS OF COMMUNICATION METADATA OR MEDIA METADATA CAPTURE; (D) COMPATIBILITY WITH WHATSAPP'S TERMS OF SERVICE; (E) IMMUNITY FROM WHATSAPP ACCOUNT BANS; AND (F) ANY SPECIFIC BUSINESS OUTCOME FROM USE OF THE PLATFORM.
11. LIMITATION OF LIABILITY
11.1 Aggregate Liability Cap
CHATVAULT'S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE LOWER OF: (A) SUBSCRIPTION FEES ACTUALLY PAID IN THE 30 DAYS BEFORE THE CLAIM; OR (B) INR 500 (RUPEES FIVE HUNDRED ONLY).
11.2 Excluded Losses
ChatVault is not liable for: indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, or data; WhatsApp account bans including bans caused by concurrent use with other services; WhatsApp Platform Changes; the failure or alteration of third-party open-source libraries, communication protocols, or developer APIs; Cloud Drive failures; loss of media files on the User's own file storage; claims by third-party WhatsApp group members; copyright infringement from the User's own media content; or User violations of Applicable Law.
11.3 Indemnification
You agree to fully indemnify ChatVault and its officers, directors, and employees against all claims, costs, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) breach of this Agreement; (c) violation of Applicable Law; (d) claims by WhatsApp group members whose Communication Metadata was captured without consent; (e) WhatsApp/Meta claims from your Connection; (f) copyright infringement from media you processed; (g) bans caused by concurrent use with other WhatsApp services; or (h) any Prohibited Conduct.
12. WHATSAPP — TECHNOLOGY RISK AND NON-AFFILIATION
ChatVault is not affiliated with, endorsed by, sponsored by, authorised by, or connected with WhatsApp LLC or Meta Platforms, Inc. ChatVault is an independent third-party service.
WhatsApp and related names, trademarks, and services belong to their respective owners.
The functionality of ChatVault may depend on the availability, compatibility, policies, restrictions, or changes of third-party platforms and services. Such changes may affect the availability or functionality of ChatVault.
Users are responsible for ensuring that their use of ChatVault and their WhatsApp account complies with applicable third-party terms, policies, and applicable law.
ChatVault cannot guarantee that a third-party platform will not restrict, suspend, limit, or otherwise affect an account or functionality. ChatVault is not responsible for actions taken by third-party platforms in accordance with their policies or terms.
If changes to a third-party platform materially affect ChatVault's functionality, ChatVault may modify, suspend, or discontinue affected functionality where reasonably necessary.
Refund eligibility, where applicable, is governed by the ChatVault Refund Policy.
13. FORCE MAJEURE
ChatVault is not liable for failure caused by: acts of God, pandemic, war, government action, internet outage, WhatsApp Platform Changes, third-party library failure, Cloud Drive failures, cyberattacks, power failures, or any other event beyond reasonable control. No refund or compensation is payable for Force Majeure Events.
14. TERMINATION
14.1 By ChatVault
ChatVault may suspend or terminate your account at any time, with or without cause, without prior notice, and without liability.
14.2 By You
Delete your account via Dashboard > Settings > Delete Account. See Privacy Policy Section 14 for the full AccountDeletionRequest protocol.
14.3 Effect
Upon termination: access ceases immediately; all Connections disconnected; outstanding fees remain payable; no refund for termination for cause; Sections 6, 7, 8, 10, 11, 15 survive termination.
15. GOVERNING LAW AND DISPUTE RESOLUTION
15.1 Governing Law
These Terms are governed exclusively by the laws of the Republic of India.
15.2 Negotiation
Disputes must first go through good faith negotiation for 30 days from written notice.
15.3 Arbitration
Unresolved disputes: binding arbitration under the Arbitration & Conciliation Act, 1996. Seat: Jabalpur, Madhya Pradesh, India. Sole arbitrator. English. Award final and binding.
15.4 Courts
Courts of Jabalpur, Madhya Pradesh have exclusive jurisdiction for interim relief and non-arbitrable matters.
15.5 No Class Actions
All disputes must be brought individually. No class action or representative proceedings.
16. GENERAL
- Entire Agreement: These Terms + Privacy Policy + Free Trial & Refund Policy + Cookie Policy + Disclaimer.
- Severability: Invalid provisions are severed; the rest continues in full force.
- Waiver: Failure to enforce any provision is not a waiver.
- Assignment: You may not assign. ChatVault may assign freely.
- Amendments: Material changes notified 15 days in advance by email.
- No Agency: No partnership, joint venture, or employment relationship.
